About Royce

Royce advises on a broad range of complex corporate transactions including on public and private mergers and acquisitions (domestic and cross border) and equity capital markets. He also advises on general corporate and regulatory issues.

He has advised a number of private equity houses and SMEs on all aspects of M&A, joint ventures, strategic acquisitions and assisted portfolio companies in structuring for exits. He has experience across a broad range of industries (ranging from resources and industrials to healthcare, fintech and start-ups) with a diverse range of clients (from large multinationals to small domestic companies).

Royce also advises clients on initial public offerings, capital raisings, ASX Listing Rules, regulatory compliance and corporate governance. Royce has previously been seconded with Optus and worked in the Middle East with Clifford Chance Law Firm.


  • CBG Capital Limited

    Advising, CBG Capital, an Australian equities listed investment company, on its response to the off-market takeover bid by Clime Capital Limited.

  • Direct Capital

    Advising Direct Capital, New Zealand’s leading private company investor, on various acquisitions including the management buyout of Marvel Packers Pty Limited, a manufacturer of potato based products, specialising in the production of frozen French fries.

  • Marvel Packers Pty Limited

    Advising the shareholders of Marvel Packers, including Direct Capital, on the sale of Marvel Packers to Lamb Weston Holdings Inc (NYSE: LW).

  • Realm Resources Limited

    Advising independent Australian metallurgical coal producer, Realm Resources Limited, on its response to the unsolicited, off-market takeover bid by T2 Resources Fund Pty Limited, a related party of Realm’s majority shareholder. The transaction involved advising Realm, through the non-affiliated directors, on a range of complex takeover and regulatory issues and Takeover Panel proceedings. In addition, we advised Realm on a capital raise associated with a re-compliance listing on ASX and general ASX and ASIC regulatory advice.

  • Optus, Samsung and other Multinationals

    Advising various domestic and multinational companies on joint ventures and general commercial matters including on intellectual property, Competition and Consumer Law, procurement, contracting arrangements and regulatory environments. Clients include General Electric (NYSE), Wilmar (SGX), Volkswagen, Cisco, Luxottica, Nokia and sovereign wealth funds.
