Asset Repositioning
Distressed assets are often not well managed and miss many opportunities to capture value for owners or creditors, to ensure they are ‘ready for market’. We work with clients to unlock uncaptured value, investigate vendor dealings and state of the asset, conduct due diligence of financial and development records, and advise on personal liabilities under different state laws.
Structures and Risks
Understanding how best to structure and present assets for sale is important is crucial for capturing untapped opportunities. We partner with clients to identify value opportunities, advise and manage known and unknown risks, including financial and lease issues, sunset clauses, warranties, indemnities and caveats. We also mange pre-sales risks and post-settlement exposures and advise on deal and payment structures.
Managing Tax Benefits
Tax is always a critical factor, particularly when a distressed asset can impact its value and therefore the tax liabilities.
We work with our clients on issues around Stamp Duty, GST and state-based taxes such as land tax, GAIC, WGT, CIPT.

Acting Wexted Advisors, the Liquidators and Court appointed Receivers
Assets managed: Peak Invest, Four by Four, Five Islands Invest and Surry Hills Pub Invest.
Our role included realising four hotel sites which were trust assets under four separate trust deeds, and included managing litigation before the Supreme Court of NSW between the unitholders, appointment of administrators and assisted in the sale of the trust assets in excess of $125m.

Mugga Lane Solar Farm
Assets managed: Advising on the recent acquisition of the Mugga Lane Solar Farm in the ACT.
This transaction required various areas of specialisation and capability in the challenging context of an insolvent seller group. Maddocks advise included Crown Lease provisions, heritage and environmental requirements, legislative restriction on transfer arrangements, land management agreement and disclosure documentation.
We negotiated the provisions of the contract for sale in the context of a competitive process run by the receivers and managers of the owner and operator of the project.
