Maddocks advises Shore on strategic affiliation with Mosman Preparatory School

Maddocks has advised Sydney Church of England Grammar School (Shore) on the due diligence, structuring, regulatory compliance and implementation of its affiliation with Mosman Church of England Preparatory School (Mosman Prep), assisting to take the next step in formalising a long-standing relationship between the two institutions.
The affiliation, approved by Mosman Prep members in May 2026 and completed in June 2026, strengthens an established pathway for students transitioning from Mosman Prep to Shore and reflects more than a century of shared history, values and educational philosophy between the schools. Under the affiliation, both schools retain their independent identity, governance and day‑to‑day operations, while deepening their connection and supporting greater continuity for families navigating the transition to secondary education.
The transaction reflects a growing emphasis among independent schools on strategic collaboration while preserving institutional identity. The Maddocks team worked closely with Shore’s leadership and advisers across all aspects of the transaction, including governance structuring, contractual arrangements, and associated property and employment considerations.
Maddocks Partner and Education Sector lead Robert Gregory advised on the commercial and regulatory aspects of the transaction, with Special Counsel Viviane Karoumbalis and Lawyer Emily Kidd supporting delivery of the transaction. The broader Maddocks team included Partners Lindsay Sheather and Marie Skinner advising on property and employment aspects.
Partner Robert Gregory said:
“We valued the opportunity to work with Shore on this matter and to support a process that balanced legal, operational and community considerations. The collaboration across all parties made for a smooth and effective outcome.”
