About Callum

Cal is a corporate lawyer who has focussed on private mergers and acquisitions, primarily in the financial services and agribusinesses sectors. Cal is experienced in coordinating transaction processes, drafting sale-related documents (such as sale agreements and shareholders arrangements) and advising in relation to general corporate matters.

Prior to coming to Maddocks, Cal worked at King & Wood Mallesons as a senior associate, where he advised on a range of transactions including Westpac's disposals of its insurance businesses, RAA's sale of its general insurance business, and various acquisitions and disposals by Manulife of Australian forestry assets. 

Experience

• Westpac Banking Corporation

  Assisted with the sale of Westpac's life insurance business to TAL Dai-ichi Life Australia Pty Limited by way of share sale for ~$900m and Westpac's sale of its general insurance business to Allianz by way of share sale for ~$750m.

• Australian Banking Association

  Advising the ABA and a consortium of major banks and retailers in relation to funding arrangements in connection with the provision of cash-in-transit services provided by Linfox Armaguard.

• Woolworths

  Advising a Woolworths subsidiary, Healthylife, in relation to its acquisition of certain assets from, and partnership with, SuperPharmacy.

• St Andrew's Insurance Group

  Advising the St Andrew's Insurance Group on its acquisition of Latitude Group Holdings' Hallmark insurance businesses. 

• Manulife

  Advising Manulife in relation to a fund acquisitions of various Australian forestry assets and investor disposals and acquisitions of upstream fund vehicles.

• Assisting with Eagleview's (a Vista Equity Partners' portfolio company) acquisition of Spookfish Ltd by way of scheme of arrangement.

  Assisting with Granicus' (a Vista Equity Partners portfolio company) acquisitions of Bang the Table and Opencities by way of share sales.
  Advising the Royal Automobile Association of South Australia’s sale of its general insurance business to Allianz Australia Limited.
  Advising Evercore Inc in relation to its disposal of its interests in Luminis Partners.
