Scott is a Senior Associate in our Corporate and Commercial team, who advises on M&A transactions, equity capital markets, debt capital markets and provides general commercial advice.

Experience

• Mergers & Acquisitions
  • Advising an NDIS service provider on its sale, including drafting the pre-sale restructure and transaction documents (including four Business Sale Agreements and a Share Purchase Agreement) and managed completion of the restructure and share sale (which included preparing an Implementation Deed, Services Agreement, Escrow Deed and ancillary documents).

  • Running due diligence, preparing the FIRB voluntary notification (national security), assisting with the Share Purchase Agreement and managing completion.
• Equity Capital Markets
  • Advising on establishing a series of single asset funds structured as widely held closed end wholesale funds. This included preparing the fund constitutions, management agreements, relationship agreements and ancillary documents.

  • Assisting with due diligence and verification in relation to its $698 million acquisition.

  • Advising on due diligence in connection with its initial public offering to raise approximately $83.5 million.

  • Advising on a $9 million capital raising, including providing advice on compliance with the Corporations Act, reviewing the Information Memorandum and Subscription Agreement and running completion.
• Debt Capital Markets
  • Advising an independent telecommunications infrastructure company on obtaining a $130 million syndicated facility to refinance its existing financing arrangements and facilitate the roll out of new mobile phone towers across Australia.

  • Advising a syndicate on debt and equity financing arrangements for a $104 million acquisition.
• Commercial
  • Acted for a variety of clients in the agribusiness and food industry in relation to distribution agreements (both international and domestic); agency agreements; preparing multijurisdictional terms and conditions for the supply of wine to customers; drafting food supply agreements; drafting a shareholders agreement and a working capital loan facility agreement for a food distribution group and advising on NDAs.

  • Advised players in the water industry on user agreements; drafting a bulk water supply agreement to govern the supply of reclaimed water to a particular council; advising on regulatory compliance and drafting term sheets to govern the arrangements of a water based Cooperative Research Centre.
