Any company that proposes to raise capital in Australia through the issue of securities (for example, shares or debentures) or financial products (for example, units in a trust, derivatives or interests in a managed investment scheme) is required to comply with the disclosure regime under the Corporations Act, regardless of where the issuer is incorporated.
