About Wilson

Wilson is a corporate and commercial lawyer with a focus on private mergers and acquisitions and complex corporate transactions.

He regularly acts on buy‑side and sell‑side M&A matters, including share and asset acquisitions, disposals, joint ventures and corporate restructures, and is closely involved in the day‑to‑day management and execution of transactions from inception through to completion.

Wilson also advises clients on a range of general corporate and commercial matters, including governance, structuring and commercial contracting. He works with clients across industries including consumer markets, healthcare and technology, and is recognised for his practical and commercially focused approach.

Experience

• Telecommunications Infrastructure - Business Sale (Australia and New Zealand)

  Advised a multinational telecommunications infrastructure operator on the sale of its Australian and New Zealand business, comprising land interests supporting third-party cellular assets, including transaction structuring, buyer negotiations and execution of sale documentation. 

• Insurance Sector - Large-Scale M&A transaction

  Advised a global insurance group on its $700 million bid of a leading Australian private insurance brokerage business, involving buy-side structuring, regulatory considerations and negotiation of transaction documents.

• Equity Capital Markets - ASX Rights Issue and Placement

  Advised an ASX-listed technology company on a significant capital raising by way of an accelerated non-renounceable entitlement offer and placement, managing transaction structuring, execution timing and engagement with underwriters and lead managers.

• Australian Takeovers Panel - Secondment

  Seconded to the Australian Takeovers Panel, working on regulatory and disclosure issues relating to Australian public company control transactions.
