About Mark

Mark is an experienced corporate lawyer at Maddocks with experience in a broad range of areas, including mergers and acquisitions, private equity transactions and reorganisations. Mark also has venture capital experience following completion of a secondment in the corporate venturing unit of British American Tobacco.

Experience

• The Citation Group

  Advising The Citation Group, a compliance and quality subscription services business, on its acquisition by KKR for a value in excess of £500m and acting for Citation on a number of bolt on acquisitions in order to increase its portfolio of advisory and consultancy services.

• Huws Gray Limited

  Acting for Huws Gray Limited and certain of its shareholders in respect of the auction sale of a minority stake to Inflexion Private Equity Partners LLP for £300m. Drafting and negotiating the share purchase agreement, disclosure letter and ancillary acquisition documents and managing the data room. Advising Huws Gray Limited on all acquisition and equity aspects of the £100m subsequent bolt-on acquisition of Ridgeon Holdings Limited, creating the largest independent builders merchants in the UK.

• Proseal UK Limited

  Advising Proseal UK Limited, a leading supplier of tray sealing technology to the food industry, on its £220m acquisition by Chicago-based JBT Corporation, which is listed on the NYSE. Awarded International Deal of the Year Winner at Insider's 2019 North West Dealmakers Awards.

• Frequentis AG

  Acting for Frequentis AG on the acquisition of the ATM voice communications and arrival management product business from L3Harris Technologies for a purchase price of USD 20.1m, including co-ordinating local counsel in Australia, Canada and the US.

• British American Tobacco PLC

  Completion of a secondment in the corporate venturing unit of British American Tobaccoplc from January 2020 to May 2020. Advising on minority investments being made in a number of jurisdictions, including the United States, Israel, Brazil, India and Denmark. Negotiating commercial agreements and proof of concept agreements with third parties and managing the amendment of the governance process of the corporate venturing unit.
