About Mark

Mark is an experienced corporate lawyer with international experience in a broad range of areas, including private equity, venture capital and private M&A transactions. 

Prior to joining Maddocks in Sydney in July 2022, Mark was an associate at an international law firm headquartered in London. During that time, Mark completed a secondment in the corporate venturing unit of British American Tobacco plc.

Mark is admitted to practise in New South Wales, Australia and Scotland.

Experience

  • Private Equity / M&A
    • The Citation Group* - Advised The Citation Group, a compliance and quality subscription services business, on its acquisition by KKR for a value in excess of £500m. Mark also advised Citation on a number of bolt on acquisitions in order to increase its portfolio of advisory and consultancy services.
    • Frequentis AG* - Acted for Frequentis AG on the acquisition of the ATM voice communications and arrival management product business from L3Harris Technologies for a purchase price of USD 20.1m, including co-ordinating local counsel in Australia, Canada and the US.
    • Quadrant Private Equity - Advised Quadrant Private Equity’s investment company, Jaybro Group, on multiple business and share acquisitions.
    • Navis Capital Partners - Advised Navis Capital Partners' investment company, Device Technologies, on multiple bolt-on acquisitions.
    • Crescent Capital - Advised Crescent Capital's investment company, Hall Contracting, on the sale of its civil contracting division to SEE Civil.
    • Valsoft - Acted for Valsoft Corporation Inc. on its acquisition of Buildsoft.
    • Quadrant Private Equity - Assisted Quadrant Private Equity’s investment company, Bastion Group, on numerous share acquisitions.
    • DZS Inc. - Advised NetComm Wireless Pty Ltd, a subsidiary of DZS Inc., on the sale of its enterprise Internet of Things (IoT) business to Lantronix Inc.

  • Venture Capital
    • Btomorrow Ventures Limited (corporate venturing unit of British American Tobacco plc)* - Advised on minority investments being made in a number of jurisdictions, including the United States, Israel, Brazil, India and Denmark. Negotiating commercial agreements and proof of concept agreements with third parties and managing the amendment of the governance process of the corporate venturing unit.
    • Spark Capital - Advised Spark Capital on its Series E investment in Insurtech company Cover Genius.
    • XV Capital - Acted for XV Capital on a number of funding round investments and corporate governance matters.
    • Surplus Equity Partners - Assisted Surplus on its equity investment in Unyoked Pty Ltd.
    • Dawn Capital - Advised UK-based Dawn Capital on the USD$70 million Series D funding round into Cover Genius.
