Jessica is trusted by her clients to advise them on their business as usual matters as well as on critical transactions in their business’ trajectory, such as, mergers, acquisitions, distribution and licencing arrangements, joint ventures and shareholders agreements.

Jessica has particular and in depth expertise in the property development sector, and advises private developers, investors and listed entities on land acquisition and development structures and the negotiation of joint ventures, partnership arrangements and service arrangements.

Her negotiation and structuring acumen has been borne out of acting across industries, and she has a long history of working with retail, manufacturing and hospitality businesses and advising them on regulatory compliance, supply chain structuring, corporate governance and growth strategies and their business as usual commercial needs. Experience

  • Development structuring

    Jessica has significant experience in negotiating and documenting complex development structures, including advising on development agreements, partnership arrangements and upstream ownership structures, as well as restructures of capital partners, for clients such as Milieu, Golden Age Group, Satterley Property Group and Stockland.

    She understands the specific drivers of participants in the development sector, has particular expertise in stakeholder relations, and is respected for her considered, thoughtful and practical advice – which takes into account parties’ long term objectives and looks beyond their immediate issues.

  • Mergers and acquisitions

    Jessica acts across the lifecycle of the M&A process (including partial sales and investments) and advises buyers and sellers of businesses during preliminary stages, including vendor and purchaser due diligence, through to the negotiation of transaction documents and management of completion. Jessica understands the need to look beyond the particular matter at hand to provide holistic and, importantly, commercial advice.

  • General commercial advice

    Jessica assists her clients with a range of ‘business as usual advice’. This includes terms of trade and supply chain structuring, and advice on restrictive trade practices, The Australian Consumer Law and regulatory codes including franchising.

    She also regularly advises on business structuring issues, shareholder and partnership agreements and expansion and succession strategies.
